Terms Of Service
THIS AGREEMENT CONSTITUTES A BINDING CONTRACT ON YOU AND GOVERNS USE OF AND ACCESS TO THE SERVICES BY YOU, AGENTS AND END-USERS WHETHER IN CONNECTION WITH A PAID OR FREE TRIAL SUBSCRIPTION TO THE SERVICES.
By accepting this Agreement, either by accessing or using a Service, or authorizing or permitting any Agent or End-User to access or use a Service, You agree to be bound by this Agreement. If You are entering into this Agreement on behalf of a company, organization or another legal entity (an “Entity”), You are agreeing to this Agreement for that Entity and representing to Best Deal Retailer (Referred to as “BDR” or “the Service” throughout this document) that You have the authority to bind such Entity and its Affiliates to this Agreement, in which case the terms “Subscriber,” “You,” “Your” or a related capitalized term herein shall refer to such Entity and its Affiliates. If You do not have such authority, or if You do not agree with this Agreement, You must not accept this Agreement and may not use any of the Services.
By using the Best Deal Retailer Service, you, “the Subscriber”, are accepting and agreeing to be bound by the following terms and conditions of this agreement (“Terms of Service”). When using these particular services, you shall be subject to any posted guidelines or rules applicable to such service. Best Deal Retailer, LLC (“Company”) reserves the right to update and change these Terms of Service without notice. Violation of any of the terms below may result in the termination of your account.
You are responsible for maintaining the security of your account and passwords. BDR cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
You are responsible for all content posted and activity that occurs within your account (even if content is posted by others outside the company with access to your account).
PAYMENT, REFUNDS, UPGRADING AND DOWNGRADING TERMS
1 Any upgrade or downgrade in plan level will be charged according to the new rate at the next billing cycle. There will be no prorating for downgrades between billing cycles.
2 Downgrading your Service may cause the loss of certain features and/or the capacity of your account. The Company does not accept any liability for such loss.
3 All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties, excluding only United States (federal or state) taxes. Where required, Best Deal Retailer will collect those taxes on behalf of taxing authority and remit those taxes to taxing authorities.
4 Refunds are processed according to our fair refund policy. Best Deal Retailer shall immediately refund the customer any prepaid subscription fees covering the remainder of the term of all subscriptions after the effective date of termination.
5 Early Adopters agree to minimum 4 months contract.
CANCELLATION AND TERMINATION
1 You are solely responsible for properly canceling your account. An email to cancel your account is acceptable.
2 Best Deal Retailer, in its sole discretion, has the right to suspend or terminate your account and refuse any and all current or future use of the Service for any reason at any time. Such termination of the Service will result in the deactivation or deletion of your Account or your access to your Account, and the forfeiture and relinquishment of all content in your account. The Company reserves the right to refuse service to anyone, for any reason, at any time.
3 Best Deal Retailer shall cease all use of the Service upon the effective date of termination.
COPYRIGHT AND CONTENT OWNERSHIP
1 All content posted on the Service must comply with U.S. copyright law.
2 The Company does not pre-screen content, but reserves the right (but not the obligation) in their sole discretion to refuse or remove any content that is available via the Service.
Customers may access their Service data via the Application Program Interface (“API”). Any use of the API, including use of the API through a third-party product that accesses the Service, is bound by the terms of this agreement plus the following specific terms:
1 You expressly understand and agree that Best Deal Retailer shall not be liable for any damages or losses resulting from your use of the API or third-party products that access data via the API.
2 Abuse or excessively frequent requests to the Service via the API may result in the temporary or permanent suspension of your account’s access to the API.Best Deal Retailer, in its sole discretion, will determine abuse or excessive usage of the API. Best Deal Retailer will make a reasonable attempt via email to warn the account owner prior to suspension.
1 Your use of the Service is at your sole risk. The service is provided on an “as is” and “as available” basis.
2 Technical support is a growing department at Best Deal Retailer and we will respond as promptly and professionally as we can.
3 You understand that Best Deal Retailer uses third party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to run the Service.
4 You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service without the express written permission by Best Deal Retailer.
5 The Company does not warrant that (i) the service will meet your specific requirements, (ii) the service will be uninterrupted, timely, secure, or error-free, (iii) the results that may be obtained from the use of the service will be accurate or reliable, (iv) the quality of any products, services, information, or other material purchased or obtained by you through the service will meet your expectations, and (v) any errors in the service will be corrected.
6 You expressly understand and agree that Best Deal Retailer shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if Best Deal Retailer has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the service; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the service; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the service; (v) or any other matter relating to the service.
7 The failure of Best Deal Retailer to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. The Terms of Service constitutes the entire agreement between you and Best Deal Retailer and govern your use of the Service, superseding any prior agreements between you and the Company (including, but not limited to, any prior versions of the Terms of Service).
8 The user understands that Best Deal Retailer will be implementing processes, hosting sites, customer service agents, training programs, billing interfaces, among other necessary changes to bring the company into fruition. Any lapses in services or down time experienced during any of the development phases should be expected and will be handled professionally and promptly by Best Deal Retailer.
9 Best Deal Retailer is not responsible for obtaining and maintaining computer hardware, software and communications equipment needed to internally access the service.
10 The user shall not modify, alter or reverse engineer services or documentation related to the product without Best Deal Retailer's consent.
11 I (we) agree to allow Best Deal Retailer to use our logo in promotional and marketing materials related to Best Deal Retailer.
The privacy of your data is important to us, therefore we will carefully protect your company’s information that you have shared with us. You hereby understand that Best Deal Retailer will be collecting general data for the purposes of improving its services. This includes collecting data to form an aggregate report from (and for) all of our retailers. We will never sell your personal information to third parties, or share specific proprietary information about your company with anyone else without your expressed written consent.
The only times we will ever share your info without expressed written consent:
• To provide products or services you’ve requested, with your permission.
• To investigate, prevent, or take action regarding illegal activities, suspected fraud, situations involving potential threats to the physical safety of any person, violations of our Terms of Service, or as otherwise required by law.
Best Deal Retailer won’t hand your data over to law enforcement unless a court order says we have to. We flat-out reject requests from local and federal law enforcement when they seek data without a court order. And unless we’re legally prevented from it, we’ll always inform you when such requests are made.
BDR Refund Policy
If you’re ever dissatisfied with Best Deal Retailer for any reason, just contact your account and we’ll take care of you. After all, we are retailers like you and we want you to be completely happy with our app and process.
EXAMPLES OF FULL REFUNDS WE WOULD GRANT:
If you were just charged for your next month of Best Deal Retailer, but meant to cancel, we would refund you for that charge.
If you forgot to cancel Best Deal Retailer a month ago, and you haven’t used the service since then, we would give you a full refund for that unused month back.
EXAMPLES OF PARTIAL REFUNDS/CREDITS WE WOULD GRANT:
If you upgraded your account a few months ago to a higher plan or added extra subscriptions, but did not end up using the extra features or subscriptions (although you did keep using Best Deal Retailer in general), we would consider applying a prorated credit towards future months.
If we had extended downtime (multiple hours in a day, or multiple days in a month) or you emailed your coach and it took more than a few days for them to get back to you, we would issue a partial credit to your account.

The Cornerstones Of BDR
The four Cornerstones are processes and policies that are critical to the success of Best Deal Retailer in your business. We have spent countless hours developing, and refining our process. Adopting and implementing the Cornerstones will be key to your success with Best Deal Retailer.
1ST CORNERSTONE: NO PRICE MATCHING
This is the most important cornerstone. You must adopt a policy of never “price matching” a lower online or competitor’s price. The BDR process is designed to overcome and beat any internet deal, thus the entire benefit of BDR would be bypassed if you continued to match online prices.
2ND CORNERSTONE: STAFF TRAINING
The BDR process alters the conventional sales process, therefore training is necessary for even the most seasoned sales people, managers, and owners of a business. Change can be difficult, therefore management and staff must commit themselves to training and embrace the process that we have designed.
3RD CORNERSTONE: EDUCATING YOUR CUSTOMERS
Educating customers about this new process is key. Demonstrating the app to your customers one-on-one is the best way to educate them. Once they understand how it works, you will likely earn their business for life. It is important to market through all of your channels to your customers. By using the marketing materials and techniques provided by BDR, and demonstrating the process to customers you will see a much higher level of success.
4TH CORNERSTONE: UP-PRICE ON COMPETITOR DISCOUNTED PRODUCT
To maximize profitability, price your aged sale product higher than the lowest prices for those items found online. This creates the price difference upon which the BDR app can work with great success. This extra margin will drop to your bottom line- significantly increasing your store’s profitability.
